01Acceptance of Terms

These Terms of Service ("Terms") are a legally binding agreement between you and RydeCircle Ltd, incorporated in Nigeria.

You accept these Terms by creating an account, accessing any RydeCircle application or website, or clicking "I agree" during registration. You must be at least 18 years old and have legal capacity to enter a binding contract under Nigerian law.

02The Platform

RydeCircle is a technology platform connecting commuters ("Passengers") with registered private vehicle owners ("Drivers") for shared commuting along fixed Lagos routes.

03Passenger Terms

As a Passenger you agree to:

• Provide accurate registration information including your real name and phone number
• Be ready at the agreed pick-up location at the confirmed time
• Pay the agreed fare promptly via the specified method
• Treat drivers and other passengers with respect at all times
• Not bring prohibited items (see Section 6) into a driver's vehicle
• Wear your seatbelt for the duration of every trip
• Report safety concerns or incidents promptly through our support channels

04Driver Terms

As a Driver you represent and warrant that:

• You are at least 21 years old and hold a valid Nigerian driver's licence
• Your vehicle is registered, road-worthy, and covered by valid motor insurance at all times
• All information submitted in your application is accurate and up to date
• You will operate your vehicle safely and in compliance with all Nigerian traffic laws
• You will not drive under the influence of alcohol, drugs, or any impairing substance
• You will not share your driver account credentials with any other person
• You will notify RydeCircle promptly of any accident, offence, or change in licence or insurance status
• You are solely responsible for your vehicle, driving, and legal compliance

05Payments & Earnings

Passengers:

• Fares are displayed before trip confirmation and are all-inclusive
• Cancellation after driver dispatch may incur a cancellation fee
• Refund requests must be submitted within 48 hours of the trip via support

Drivers:

• Earnings are calculated on completed trips at the agreed per-trip rate
• RydeCircle deducts a platform fee as communicated at onboarding (updated with notice)
• Payouts are processed to your registered bank account on the agreed schedule (typically daily)
• You are responsible for paying all applicable Nigerian taxes on your platform earnings

06Prohibited Conduct

The following are strictly prohibited:

• Verbal or physical abuse, harassment, or discrimination against any user
• Sexual harassment or any unwanted sexual conduct
• Bringing illegal substances, open alcohol, or firearms into any vehicle
• Smoking or vaping inside a driver's vehicle
• Creating fake accounts or misrepresenting your identity
• Manipulating the platform, ratings, or any technical system
• Soliciting drivers to accept off-platform trips to circumvent fees
• Sharing another user's personal information without consent

Violation may result in immediate account termination and referral to law enforcement where appropriate.

07Safety

In a trip emergency:

RydeCircle verifies all drivers before activation. However, we cannot guarantee user behaviour. Report any safety incident immediately via our support channels. All passengers must wear a seatbelt; drivers must not commence a trip if a passenger refuses.

08Intellectual Property

The RydeCircle name, logo, platform design, and all associated intellectual property are owned by RydeCircle Ltd. You may not copy, reproduce, reverse-engineer, or use our branding without written permission.

You retain ownership of your user-generated content but grant RydeCircle a worldwide, royalty-free licence to use it for platform operation and improvement.

09Limitation of Liability

To the maximum extent permitted by Nigerian law:

• RydeCircle is not liable for indirect, incidental, or consequential damages
• Our total liability for any claim shall not exceed the amount you paid to RydeCircle in the prior 3 months
• We do not guarantee the availability or uninterrupted operation of the platform
• We are not responsible for acts or omissions of independent Drivers or Passengers

Nothing here limits liability for death or personal injury caused by our negligence, or for fraud.

10Termination

By you: Close your account any time by contacting support@rydecircle.com. Pending payouts are settled within 14 days.

By RydeCircle: We may suspend or terminate your account with immediate effect for breach of these Terms, fraudulent activity, risk to other users, or if required by law.

11Disputes & Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes are resolved as follows:

1. Internal resolution: Contact support@rydecircle.com. We aim to resolve within 14 days.
2. Mediation: Unresolved disputes may be referred to the Lagos Multi-Door Courthouse.
3. Arbitration: Final disputes are determined by binding arbitration in Lagos under the Arbitration and Conciliation Act.

Either party may seek urgent injunctive relief from a court of competent jurisdiction at any time.

12Changes to Terms

When we make material changes, we will update the effective date, send email notice at least 14 days before changes take effect, and show an in-app notification. Continued use after the effective date constitutes acceptance.
